These Terms & Conditions ("Terms") govern the use of all software products, websites, hosting services, APIs, platforms, and professional services ("Services") provided by Logic Layer Pvt. Ltd. ("Company", "we", "us", or "our").

By accessing, subscribing to, or using any of our Services, the user ("Client", "Customer", or "Subscriber") agrees to be bound by these Terms.

1. Scope of Services

Logic Layer provides, including but not limited to:

• Custom software development
• ERP systems
• FBR Digital Invoicing software
• Web and mobile applications
• API integrations and automation
• Hosting and infrastructure services (including Logax Hosting)
• Websites and CMS platforms
• Technical consulting and support

Service scope may vary per product or commercial agreement.

2. Third-Party Dependencies

Certain Services depend on third-party systems, including but not limited to:

• Government APIs (e.g., FBR / PRAL)
• Cloud providers
• Payment gateways
• Domain registrars
• SMS/email gateways
• External APIs

The Company is not responsible for:

• Third-party downtime or failures
• API behavior changes
• External service pricing changes
• Data inconsistencies from third-party sources

3. Regulatory & External Changes

Regulatory bodies, technology providers, or platforms may introduce:

• New rules
• API upgrades
• Validation changes
• Data format changes
• Compliance requirements

The Company will make reasonable efforts to update affected Services. Such updates:

• May take time
• May incur additional fees
• May cause temporary service disruption

Temporary non-functionality due to external changes does not constitute breach of contract.

4. No Guarantee of Continuous Compliance

Where Services involve regulatory or third-party compliance:

• Compliance is valid only at the time of release
• Continuous compliance cannot be guaranteed

The Company is not liable for:

• Regulatory penalties
• Business losses
• Rejected submissions
• Audit consequences

5. User Responsibilities

The Client is solely responsible for:

• Accuracy of all submitted data
• Legal compliance of business operations
• Content uploaded to platforms
• Correct usage of APIs and software
• Security of login credentials

6. No Legal, Tax, or Professional Advice

Services and software do not constitute legal, tax, or accounting advice.

The Company is not responsible for:

• Legal interpretations
• Regulatory decisions
• Tax filings or audits
• Compliance disputes

7. Service Availability

The Company will use reasonable efforts to maintain uptime.

We do not guarantee:

• Uninterrupted availability
• Error-free operation
• Instant response times

Downtime may occur due to:

• Maintenance
• External outages
• Security incidents
• Force majeure events

8. Subscription Fees, Discounts & Pricing Revisions

8.1 Fees are published on our website or agreed commercially.

8.2 Promotional discounts may be offered temporarily.

8.3 Discounts are non-transferable and time-limited.

8.4 Upon expiry, pricing reverts to the then-current rate.

8.5 The Company may revise pricing due to:

• Feature upgrades
• Regulatory changes
• Infrastructure costs
• Inflation
• Support cost increases

8.6 Pricing changes apply from the next billing cycle.

8.7 Continued use constitutes acceptance.

8.8 Fees are non-refundable except per Refund Policy.

9. Limitation of Liability

Maximum liability is limited to the subscription or service fee paid for the current billing period.

The Company is not liable for:

• Lost profits
• Regulatory penalties
• Data loss
• Business interruption
• Indirect or consequential damages

10. Force Majeure

We are not liable for failures caused by:

• Government actions
• Regulatory changes
• Internet failures
• Power outages
• Cyber incidents
• Acts of God

11. Termination

We may suspend or terminate Services for:

• Non-payment

• Illegal activities

Clients may cancel subscriptions anytime.

12. Intellectual Property

All software, source code, designs, documentation, and IP remain the property of Logic Layer Pvt. Ltd.

13. Governing Law

These Terms are governed by the laws of Pakistan.

14. Amendments

We may amend these Terms at any time. Continued use constitutes acceptance.
